nominees of the said companies on the Board of Directors of the Company.

media companies have any management control of the Company; hence there is no
potential conflict of interest arising out of such agreement.

There are no back
to back agreements entered into by the Company with media companies and/ or
their associates for the purpose of advertising, publicity, etc.
